Mr. Bauer concentrates his practice in real estate and commercial law, representing developers, mortgage lenders, property owners, and tenants in a variety of development, acquisition, financing, and leasing transactions. Recent projects on which he has worked include several major build-to-suit leases representing biotechnology and pharmaceutical companies. He has recently represented a large private nonprofit association in the development of its headquarters facility. He represented a hydroelectric company in restructuring a multi-use facility with a complex cross-easement agreement. He works with developers on the structuring, transactional negotiations, and permitting with respect to complex, urban mixed use projects. He represents a number of real estate companies, including large pension fund real estate advisors in the sale and acquisition, financing, management and leasing of their real property investments. He is counsel to a quasi-public development agency for several of its development projects. He also represents lenders and developers in structuring, negotiating and documenting complex, multiple party transactions relating to affordable housing.
Mr. Bauer represents numerous income property owners with respect to estate planning, real property acquisitions and sales, and property ownership structuring and financing issues. He represents lenders in multifamily and commercial property loan closings secured by properties located throughout the country as part of conduit and other complex financing programs. In this representation, he works closely and extensively with investor counsel and rating agencies regarding securitization and pooling issues relating to the loans. In addition, Mr. Bauer counsels these clients in creating uniform legal standards to ensure that lenders attain maximum value in private and public offerings of securities collateralized by multifamily and commercial property real estate loans.
Mr. Bauer has experience in the area of loan workouts and loan restructuring negotiations, documentation and closings. He has a foreclosure practice as well. In the area of bankruptcy, Mr. Bauer has assisted lenders in complex negotiations and transactions regarding bankruptcy estate property. He has been involved in a variety of bankruptcy reorganizations. |

Mr. Bauer has long been involved in real estate projects. An undergraduate geography major at Clark University, after law school and prior to joining the firm, he served as the Regional Counsel, New England Region, for the Federal Urban Mass Transportation Administration where he oversaw the legal issues of the Federal grant program for New England and worked on a number of transit infrastructure programs. Mr. Bauer previously worked in the United States Department of Transportation Legal Honors Program in Washington, D.C. In 2004, Mr. Bauer was designated as a Massachusetts Super Lawyer® in the field of real estate law by Law and Politics magazine.
