Jane V. Hawkes
Partner
Jane V. Hawkes is a senior partner in the firm’s Business and Finance Practice Area and the firm’s foremost securities expert. Ms. Hawkes has over 20 years of experience practicing in the areas of mergers and acquisitions, securities law, corporate governance, finance (both public and private equity, debt and derivatives) and taxation.

Ms. Hawkes has served as general counsel to technology companies including providing advice on licensing, regulatory, securities compliance and strategic partnering issues. She also served as interim in-house general counsel for a biotech client with duties which included directing that client through SEC enforcement and compliance matters as well as dealing with technology transfer, foreign subsidiary, human resource, creditor rights and licensing issues. She has also represented clients before the SEC with respect to debt and equity issues, merger transactions and going private transactions.

She has served as an adjunct professor at Babson College in the MBA program, teaching a course in business and tax issues in mergers and acquisitions. She is very active in representing clients in the tax-exempt financing area and has served as bond counsel on hundreds of tax-exempt financing transactions benefiting private companies, as well as major public institutions and colleges. She also has counseled clients in large, complicated public/private development projects, including several low-income housing projects, as well as hotels and office buildings.

Ms. Hawkes served as managing partner of Bowditch & Dewey from 1997-2000.

Background
During an 18-month sabbatical in 1986 and 1987, Ms. Hawkes worked as a partner managing the development and financing of a large development in Rhode Island in a joint venture with a major institutional investor. She has presented programs on financing techniques for public and private development before the annual meeting of the Council on Urban Economic Development in Philadelphia and participated in an invitational roundtable sponsored by Fannie Mae in Washington D.C. on urban housing problems.
